Project scope and objective
Dr. Consulta is a healthcare technology (“HealthTech”) company providing low-cost care delivery to low-income patients with a multi-channel approach in Brazil.
The proposal consists of an equity investment of up to USD 12 million in Dr. Consulta Ltd. to support the entity to expand operations through the opening of new clinics, including other regions within Brazil, and to develop its technology and its recently acquired healthcare plans (“Cuidar.me”).
The investment of up to US$10 million will take place as preferred convertible stock as part of the ongoing Series D equity round, with an estimated term of 7 years term. An additional 20% uncommitted amount may be contributed exclusively to exercise preemptive rights and/or right of first refusal.

Escopo do projeto e rótulo objetivo
Dr. Consulta é uma empresa de tecnologia em saúde (“HealthTech”) que oferece atendimento médico a um preço acessível em uma abordagem multicanal, com o objetivo de atender uma parcela da população carente do Estado de São Paulo, oferecendo consultas e exames a baixo custo.
A proposta consiste em um investimento de até US$ 12 milhões na Dr. Consulta Ltd. para apoiar a entidade na expansão da atuação por meio da abertura de novas clínicas, incluindo outras regiões do Brasil, e no desenvolvimento de sua tecnologia e de seus planos de saúde recém-adquiridos (“Cuidar.me”).
O investimento de até US$ 10 milhões ocorrerá se referem a ações preferenciais conversíveis da rodada de ações Série D em andamento, com horizonte de investimento estimado de 7 anos. Um valor adicional de 20% não comprometido poderá ser aportado exclusivamente para o exercício do direito de preferência e/ou direito de primeira recusa.
Revisão ambiental e social
O BID Invest realiza due diligence ambiental e social (ESDD) compatível com a natureza, escala e estágio do projeto e com seu nível de riscos e impactos ambientais e sociais. A ESDD confirmará a categorização ambiental e social do projeto e avaliará o projeto em relação aos requisitos do cliente na Política de Sustentabilidade Ambiental e Social do BID Invest. Os resultados do ESDD, incluindo quaisquer lacunas identificadas, são descritos no Resumo de Revisão Ambiental e Social (ESRS) abaixo. Para os projetos aprovados a partir de 2016, todas as divergências com relação à Política de Sustentabilidade Ambiental e Social do BID Invest à época do ESDD estão contempladas no Plano de Ação Ambiental e Social (ESAP) apresentado a seguir, para cumprimento da referida data.

Environmental and social review
IDB Invest conducts an environmental and social due diligence (ESDD) commensurate with the nature, scale, and stage of the project, and with its level of environmental and social risks and impacts. The ESDD will confirm the project E&S categorization and assess the project with respect to the client requirements in IDB Invest Environmental and Social Sustainability Policy. The results of the ESDD, including any identified gaps are described in the Environmental and Social Review Summary (ESRS) provided below. For projects approved as of 2016, any gaps with respect to IDB Invest's Environmental and Social Sustainability Policy at the time of the ESDD are addressed in the Environmental and Social Action Plan (ESAP) presented below, to comply with the date mentioned above.
